These Terms of Service ("Terms") govern your access to and use of Sigmise ("the Service"), including our desktop application, website (sigmise.com), and related services provided by Sigmise ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Eligibility

To use the Service, you must:

  • Be at least 16 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet all eligibility requirements.

2. Description of Service

Sigmise provides AI-powered meeting assistance tools, including:

  • Real-time audio transcription of meetings and conversations
  • Translation of transcripts into multiple languages
  • AI-generated meeting summaries and action items
  • Cloud synchronization and storage of meeting data
  • Meeting chat interface for discussing recorded notes

Features may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. User Accounts

3.1 Account Creation

You must create an account to access most features of the Service. You may register using your email address or through third-party authentication services (such as Google Sign-In). You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We will not be liable for any loss or damage arising from unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time through the application settings. Upon deletion, we will remove your personal data in accordance with our Privacy Policy. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

4.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free plans have limited features and usage quotas. Paid plans ("Pro") provide additional features, increased quotas, and extended data retention as described on our pricing page.

4.2 Billing and Payment

  • Paid subscriptions are billed in advance on a recurring basis (monthly or annually)
  • All payments are processed securely through Stripe, Inc.
  • Prices are displayed in US Dollars unless otherwise specified
  • You authorize us to charge your payment method for all applicable fees
  • Applicable taxes will be added to your subscription fee where required by law

4.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee. We will notify you of any price changes before they take effect.

4.4 Cancellation

  • You may cancel your subscription at any time through the application settings or by contacting support
  • Cancellation takes effect at the end of the current billing period
  • You will retain access to paid features until the end of your billing period
  • After cancellation, your account will revert to the free plan

4.5 Refund Policy

Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion in the following circumstances:

  • Technical issues that prevent you from using the Service, which we cannot resolve within a reasonable timeframe
  • Duplicate charges or billing errors
  • Requests made within 7 days of initial subscription for first-time subscribers

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for personal and business use in transcribing, translating, and summarizing meetings and conversations.

5.2 Prohibited Conduct

You agree NOT to:

  • Record conversations without the consent of all participants where required by law
  • Use the Service to infringe on intellectual property rights of others
  • Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use the Service to transmit malware, viruses, or other malicious code
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated means (bots, scrapers) to access the Service without permission
  • Resell, sublicense, or redistribute the Service without authorization
  • Circumvent any usage limits or restrictions imposed on your account

5.3 Recording Consent

Important: Many jurisdictions require consent from all parties before recording conversations. You are solely responsible for complying with all applicable laws regarding recording consent in your jurisdiction. We recommend informing all meeting participants when using the Service to record and transcribe meetings.

6. User Content

6.1 Ownership

You retain all ownership rights to the content you create, upload, or record using the Service ("User Content"), including audio recordings, transcripts, and any other data you provide. We do not claim ownership of your User Content.

6.2 License to Sigmise

By using the Service, you grant us a limited, non-exclusive, worldwide license to process, store, and transmit your User Content solely for the purpose of providing and improving the Service. This includes processing your audio through third-party services for transcription, translation, and AI summarization.

6.3 Content Responsibility

You are solely responsible for your User Content. We do not monitor, review, or endorse User Content. We reserve the right to remove content that violates these Terms or applicable law.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other materials (excluding User Content), is owned by Sigmise and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

8. Third-Party Services

The Service integrates with and relies on third-party services, including:

  • Microsoft Azure for speech recognition and translation
  • DeepSeek and OpenAI for AI-powered features
  • Stripe for payment processing
  • Google for authentication services

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

9. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • TRANSCRIPTIONS, TRANSLATIONS, OR SUMMARIES WILL BE 100% ACCURATE
  • THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS
  • ANY DEFECTS WILL BE CORRECTED

YOU USE THE SERVICE AT YOUR OWN RISK. AI-GENERATED CONTENT SHOULD BE REVIEWED FOR ACCURACY BEFORE RELYING ON IT FOR IMPORTANT DECISIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIGMISE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • LOSS OF PROFITS, DATA, USE, OR GOODWILL
  • BUSINESS INTERRUPTION
  • COST OF PROCUREMENT OF SUBSTITUTE SERVICES
  • ANY OTHER INTANGIBLE LOSSES

ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Sigmise and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party, including recording consent laws
  • Your violation of any applicable laws or regulations

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at support@sigmise.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving your notice.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any disputes arising from these Terms or the Service that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Australia.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Termination

15.1 Termination by You

You may terminate your account at any time by deleting your account through the application settings or by contacting support.

15.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of subscription fees
  • Extended period of inactivity
  • Requests by law enforcement or government agencies

15.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sigmise regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.
